Give the partnership notice of the exchange
Form 8308 reports a sale or exchange of a partnership interest involving section 751(a) unrealized receivables or inventory items. The partnership's reporting obligation is separate from the selling partner's gain calculation. A privately negotiated payment between two owners can therefore create work for the partnership even though no sale proceeds enter its bank account. The current instructions should be checked for the relevant year, parts, furnishing requirements, and applicable exceptions.
Before closing, require the seller and buyer to provide the partnership with the effective transfer date, their identities, the interest transferred, and the transaction documents needed for reporting. Do not assume that updating the operating agreement gives the return preparer all required notice. Identify the person who receives the package and the person who computes the hot-asset information. A transfer made during a busy operating season should enter a formal reporting register rather than remain in an owner's personal email.
Separate the owner's gain from the information duty
Assume a hypothetical seller receives $700,000 for an interest with $300,000 adjusted outside basis, ignoring liabilities and transaction expenses for illustration. The simplified total gain is $400,000. Suppose the completed asset analysis attributes $90,000 to section 751 ordinary-income items. The remaining $310,000 requires its own capital-gain analysis. Neither the private purchase agreement's label nor the partnership's book capital balance settles those figures.
The Form 8308 workstream reports the exchange and the required information; it does not replace the seller's reporting of gain or the buyer's opening investment records. If the parties budget tax using a single capital-gain assumption, the $90,000 difference can materially change the seller's reserve. The buyer also needs to distinguish its purchase basis from any permitted inside-basis adjustment. Keep these computations connected through shared transaction facts without treating one form as a universal answer to all three reporting questions.
Calendar furnishing separately from filing
Current instructions require Parts I through III to be furnished to the transferor and transferee by January 31 after the calendar year of the exchange or, if later, thirty days after the partnership has notice. Filing with the partnership return and completing the additional gain information follow their own instructions. Build distinct calendar entries rather than assuming that everything can wait until the extended Form 1065 deadline.
For a December closing, ask immediately whether the partnership has enough information to furnish the required parts. A late valuation or unresolved price adjustment should be tracked as an open item with an owner and an expected resolution date. Preserve delivery evidence and the version actually furnished. When the partnership receives notice after its return was filed, review the instructions for separate filing and correction procedures. Quietly placing the form in next year's folder does not establish proper reporting for the transfer year.
Reconcile underlying assets before signing the amounts
Request the receivables detail, inventory tax basis, depreciation records, and other facts relevant to the section 751 calculation as of the transfer. Book asset values may not equal the values used in the tax computation. Document which records came from the partnership and which assumptions came from the transaction valuation. If an amount changes, circulate a single revised schedule so the seller's preparer and partnership preparer do not report inconsistent versions.
A buyer's requested section 754 election is a separate decision and should have its own approval and filing analysis. Likewise, foreign-transfer withholding is a separate closing obligation. Put these related items beside Form 8308 on the transfer checklist, with their own conclusions. This arrangement prevents a completed form from being mistaken for evidence that the entire partnership-interest sale has been reviewed. It also shows the owners precisely which unanswered question is delaying their individual return preparation.
Correct information through the right partnership procedure
If a reporting error is discovered, determine whether the partnership can file a superseding return or needs an amended return or administrative adjustment request under its applicable regime. Current Form 8308 instructions discuss those paths. Preserve the original form, corrected computation, explanation, and recipient communications. Close the file only when the seller, buyer, and partnership records use the same effective date and documented tax figures. The partnership should retain enough detail to explain the exchange after both departing owners and their original bookkeepers are no longer available.
